When Merger and Acquisition activity takes place there is often a transfer of a large portfolio of properties, where

  • it is physically impossible to deduce or research title in the time available
  • the Legal adviser is not prepared to accept responsibility for the condition of the titles which were originally handled by another Law firm
  • the seller wants to enhance the value of the portfolio by providing an insurance wrap to be transferred with the portfolio for the benefit of the purchaser.
  • the purchaser wants to protect future revenue streams from disruption by defects in title
